Our organization, a leading player in the medical industry, is seeking a dynamic and detail-oriented Corporate Paralegal to join our legal team on a permanent basis.
This role provides an exciting opportunity to delve into the intricacies of corporate law within the healthcare sector.
The ideal candidate will be responsible for providing comprehensive legal support to our corporate team, assisting with corporate governance, UCC filings, entity formation, due diligence, and contracts.
This is a challenging role that requires a high level of discretion, a keen eye for detail, and the ability to work under pressure.
Responsibilities:
1.
Provide support for all aspects of corporate governance, including preparing and filing corporate documents and UCC filings.
2.
Assist in the formation and dissolution of corporate entities, including preparing necessary documentation and ensuring compliance with all relevant laws and regulations.
3.
Conduct comprehensive due diligence investigations in connection with various corporate transactions, including mergers and acquisitions.
4.
Draft, review, and revise a wide variety of contracts and legal documents.
5.
Provide legal support to various departments within the organization, including Human Resources, Finance, and Operations.
6.
Maintain an organized and up-to-date database of all corporate legal documents.
7.
Stay updated on current laws and regulations related to the healthcare industry and corporate law.
8.
Work collaboratively with the legal team to develop strategies and solutions to complex legal issues.
Qualifications:
1.
A minimum of 3 years of experience as a Corporate Paralegal, preferably within the healthcare or medical industry.
2.
A bachelor's degree in Law, Business Administration, or a related field is required.
A paralegal certificate from an ABA-approved program is preferred.
3.
Extensive knowledge of corporate law, UCC filings, entity formation, and due diligence is required.
4.
Experience in drafting and reviewing a wide variety of contracts.
5.
Excellent research skills and the ability to understand and interpret complex legal documents.
6.
Strong organizational skills, with a demonstrated ability to handle multiple tasks and deadlines simultaneously.
7.
Excellent communication skills, both written and verbal, with the ability to effectively communicate complex legal concepts to non-legal personnel.
8.
Proficiency in using Microsoft Office Suite and legal research platforms.
9.
A team player with a positive attitude and a strong work ethic.
